1. Acceptance of Terms
By registering for or using Zoy ("Service"), provided by MB intelekto studija ("Company", "we", "us"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, you must not use the Service.
2. Service Description
Zoy is an AI-powered marketing automation platform that provides content generation, SEO analysis, and outreach automation tools. We reserve the right to modify, suspend, or discontinue any part of the Service at any time.
3. Account & Registration
You must provide accurate and complete information when creating an account. You are responsible for maintaining the security of your password and account. You are fully responsible for all activities that occur under your account.
4. Acceptable Use Policy
You agree NOT to misuse the Service. Specifically, you agree not to:
- Send unsolicited messages or spam in violation of CAN-SPAM, GDPR, or other applicable laws.
- Use the Service to generate or distribute illegal, harmful, or offensive content.
- Attempt to reverse engineer or disrupt the Service's infrastructure.
- Probe, scan, or test the vulnerability of our systems.
Email Policy: We have a zero-tolerance policy for spam. Accounts with excessive bounce rates (>5%) or spam complaints (>0.1%) may be suspended immediately.
5. Payment & Subscriptions
Fees: The Service is billed in advance on a monthly or annual basis. All fees are non-refundable.
Upgrades/Downgrades: Plan changes take effect immediately. Downgrading may cause loss of content, features, or capacity.
Cancellation: You can cancel your subscription at any time. Your access will continue until the end of the current billing cycle.
6. Industry Intelligence & Data Rights
6.1 Your Content
You retain full ownership of the content you generate using Zoy. We claim no intellectual property rights over the material you provide to the Service.
6.2 Industry Intelligence Aggregation
By using the Service, you grant us a worldwide, non-exclusive, royalty-free license to aggregate anonymized usage data and performance patterns ("Learnings") to improve our industry intelligence system.
We will NOT share: Your specific customer lists, proprietary content, or personally identifiable information.
We MAY share: Aggregated industry trends (e.g., "Financial SaaS emails perform best on Tuesdays").
7. Termination
We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.
Upon termination, your right to use the Service will immediately cease.
8. Limitation of Liability
In no event shall MB intelekto studija, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.
Our total liability shall not exceed the amount you paid to the Service in the past 12 months.
9. Governing Law
These Terms shall be governed by and construed in accordance with the laws of Lithuania (EU), without regard to its conflict of law provisions.
Any disputes shall be resolved in the courts of Vilnius, Lithuania.
